Management:

The Spirus Medical Team includes the following individuals, each of whom have extensive experience in the medical device industry.

Steven J. Tallarida—President and Chairman of the Board

Mr. Tallarida brings to Spirus his expertise and experience from over 16 years of manufacturing medical products. Mr. Tallarida is an owner and Director of STD Med, Inc., where he has been President for over 20 years. Mr. Tallarida transformed STD from a defense manufacturing company to an ISO 9001 and EN 46001 certified, medical device design and manufacturing company. Mr. Tallarida graduated from American University in Washington, D.C. in 1984. In addition to co-founding Spirus, Mr. Tallarida is also a co-founder, President and a Director of ArthroSurface Incorporated, a medical device company developing and marketing novel devices for resurfacing lesions in the articular cartilage of joints. Mr. Tallarida was also a co-founder and a Director of AngioLink Corporation, a medical device start-up in the interventional cardiology and wound management fields. AngioLink was recently sold to Medtronic Inc.

Robert E. Ailinger—Vice President and Chief Operating Officer

Mr. Ailinger is a co-founder of Spirus as well as the Chief Operating Officer and a Director. Mr. Ailinger has extensive experience in the development and manufacture of minimally invasive medical devices. He was the Project Manager at endoVia Medical from June 2001 to January 2004, His responsibilities included developing their remote controlled flexible instruments. Prior to collaborating with Mr. Frassica in the development of the Endo-Ease System, Mr. Ailinger held several managerial positions at Vision Sciences Inc., a medical device company, from March 1991 to December 2000. In his last position as Project Engineering Manager, he was responsible for developing, testing and manufacturing disposable devices. Mr. Ailinger was responsible for bringing several of that company's FDA approved products from initial concept into full production. From September 1988 to March 1991, he served as an Engineer at Bard USCI, working on the development and testing of interventional cardiology devices. Mr. Ailinger has been issued ten U.S. patents for medical devices. He holds a B.S. in Engineering from Northeastern University.

James J. Frassica—Chief Technology Officer

Mr. Frassica is a co-founder, Chief Technology Officer and Director of Spirus. He developed the intellectual property base for the Company from June 1995 to the present date. Prior to starting work on the Spirus technology, Mr. Frassica was employed at Vision Sciences Inc., a medical device company, from 1990 to 1995. He established product design, documentation, and pilot production capabilities, as well as designing several medical devices which were produced in commercial quantities. He last held the position of Vice President of Applied Research. Prior to Vision Sciences, Mr. Frassica spent twenty years at Bard USCI, a division of C.R. Bard Corporation, where his last position was Director of Research and Development and Manager of Manufacturing Engineering. Prior to that, Mr. Frassica was co-founder and President of Frasco, Inc., a manufacturer of pulmonary device components. Mr. Frassica has been issued twelve U.S. patents for medical devices. He holds a B.S. in Engineering from Northeastern University.

William H. Bookwalter—Vice President, Sales and Market Development

Mr. Bookwalter joins the Spirus team with over 15 years experience in sales and marketing, business management, and product development in the medical device industry, specifically in the areas of laparoscopy, general surgery, and gastroenterology. Mr. Bookwalter was Vice President of Sales and Marketing for Microline, a laparoscopic instrument manufacturer, from August 2001 through December of 2004 where he contributed to the company's rapid growth and ultimately the sale of the company to Pentax in December of 2004. Prior to joining Microline, Mr. Bookwalter served as Vice President and Director of Dexterity Surgical, a NASDAQ company that developed hand-assisted laparoscopic surgical equipment beginning in October of 1997. In 1992 after serving as a territory sales manager for Surgi-tech International, Mr. Bookwalter founded W. H. Bookwalter & Associates, a surgical specialties distribution and development company. He served as the company's president and majority shareholder until September of 1997 when he sold the company to LifeQuest Medical. Mr. Bookwalter is also a co-inventor named in two medical device patents. He obtained his B.A. in Psychology from the University of Vermont.

Antonio C. Resendes—Vice President, Marketing & Customer Service

Mr. Resendes, joined Spirus Medical after serving as Market Development Specialist for Medtronic following its purchase of AngioLink Corporation, where he was Director of Marketing for five years. A graduate of Johnson & Wales University, Mr. Resendes brings to Spirus over 23 years of experience in marketing, customer service, and manufacturing within the medical device industry. Mr. Resendes began his career with Johnson & Johnson Orthopedics, where he held multiple positions of increasing responsibility in manufacturing and customer service management before moving into the marketing group. He helped promote and implement several marketing programs to educate physicians on how to advance their own practices and change referral patterns in response to the reimbursement shifts caused by managed care. He later joined Ethicon Endo-Surgery to deploy similar marketing programs in support a newly acquired breast biopsy device from Biopsys, Inc.

Ross J. Garofalo—Vice President and Chief Financial Officer

Mr. Garofalo joined the Company after serving as Vice President and Chief Financial Officer of AngioLink Corporation, until its sale to Medtronic in November 2004. Mr. Garofalo was CFO of AngioLink from its inception. Prior to joining AngioLink, Mr. Garofalo was the sole proprietor of Eastern Consulting, a financial and temporary CFO consulting company located in Massachusetts. Prior to forming Eastern Consulting, Mr. Garofalo was CFO of Jandel Scientific Software until its acquisition by SPSS Inc. in 1996. Mr. Garofalo was a partner at Berg and Company, a San Francisco-based firm specializing in turnaround management and temporary CFO services. Mr. Garofalo earned his M.B.A. from the University of California, Berkeley in 1987 and graduated first in his class with a B.B.A in 1981 from the University of Massachusetts, Amherst. Mr. Garofalo is a CPA.

Richard I. Rothstein, M.D.—Co-Chief Medical Officer

Dr. Rothstein is currently the Chief of Gastroenterology and Hepatology at the Dartmouth-Hitchcock Medical Center and a Professor of Medicine at Dartmouth School of Medicine. Dr. Rothstein is a recognized leader in the field of gastroenterology. Dr. Rothstein is a frequent lecturer and a reviewer and referee for numerous peer reviewed medical journals.

Dr. Rothstein earned his medical degree at Boston University and did his internship and residency at the University of Massachusetts Medical Center. He is Board Certified in internal medicine and gastroenterology.

Paul A. Akerman, M.D.—Co-Chief Medical Officer

Dr. Akerman, 51 practices gastroenterology in Providence, RI with University Gastroenterology and is an Assistant Clinical Professor of Medicine at the Brown University School of Medicine. Dr. Akerman received his medical degree from George Washington University School of Medicine & Health Sciences, Washington DC in 1985 and completed his internship at Mount Auburn Hospital, Cambridge, MA.
